Terms of Service

By using Efiros, you agree to these Terms. If you don't agree, please don't use our services.

1. Who Can Use Efiros

You must be:

  • At least 18 years old
  • Able to form a binding contract
  • Using Efiros for lawful business purposes

If you're using Efiros on behalf of a company, you confirm you have authority to bind that company to these Terms.

2. Your Account

You're responsible for:

  • Keeping your login credentials secure
  • All activity under your account
  • Providing accurate account information
  • Notifying us immediately of any unauthorized access

We're responsible for:

  • Keeping your account data secure
  • Providing the services described in your plan

3. What You Can (and Can't) Do

You can:

  • Use Efiros to improve your team's engineering processes
  • Integrate with version control tools (GitHub and GitLab)
  • Export your data at any time
  • Analyze team-level patterns and workflows

You can't:

  • Use Efiros for individual surveillance or automated HR decisions without meaningful human review
  • Reverse engineer, copy, or build competing products
  • Share your account credentials
  • Violate any laws or these Terms
  • Upload malware or harmful content
  • Use Efiros to harass or discriminate against anyone

Important: Efiros is a decision support tool. You're responsible for all decisions affecting people, including hiring, firing, performance reviews, and promotions.

4. Your Data

You own your data. We process it to provide you with analytics and insights.

What we collect:

  • Account information (name, email, company)
  • Engineering metadata (commit timestamps, pull request events, code review activity)
  • Usage information (features you use, login activity)

What we don't store:

  • We access third-party systems via APIs to process engineering metadata.
  • We do not intentionally read, analyse, or store source code or message content as part of our standard services.
  • Any content-level processing, if required, is subject to a separate agreement.
  • We don't collect special category data (health, religion, race, etc.)

Anonymized benchmarks: We may create anonymized industry benchmarks aggregated across a sufficient number of organisations to reasonably prevent identification. These benchmarks do not identify you or any individual.

Your obligations:

  • You must have a lawful basis for providing us employee data
  • You must inform employees about data collection and use
  • You're responsible for compliance with UK GDPR

We process data as your Data Processor under UK GDPR. See our Privacy Policy for details.

5. Payments

Plans:

  • Free Trial: Time-limited, no payment required
  • Paid Plans: Billed monthly or annually

Billing:

  • Subscriptions auto-renew unless you cancel
  • We'll send you a renewal reminder at least 14 days before renewal
  • Cancel anytime from your account settings
  • Cancellation takes effect at the end of your billing period
  • No refunds for partial periods (unless required by law or we materially breach)
  • All prices exclude VAT/taxes (you're responsible for applicable taxes)

Late payments: If payment is overdue by 30+ days:

  • We may suspend your account after 10 days' written notice
  • Interest may accrue at 1.5% per month (or legal maximum, whichever is lower)

6. Intellectual Property

We own: The Efiros platform, including all software, algorithms (like the Efiros Score), designs, and documentation.

You own: Your data and content.

Feedback: If you share ideas or suggestions with us, we can use them freely to improve Efiros.

7. Acceptable Use Policy

You must not use Efiros to:

Illegal activities:

  • Violate any applicable laws or regulations
  • Infringe intellectual property rights
  • Engage in fraud or financial crimes

Harmful content:

  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to systems
  • Overload or disrupt our infrastructure

Misuse of data:

  • Use for individual surveillance beyond legitimate business purposes
  • Make automated employment decisions without human review
  • Discriminate or harass based on protected characteristics
  • Share or resell access to the platform

We may immediately suspend accounts that:

  • Pose security risks
  • Violate this policy
  • Are subject to legal complaints

You're responsible for all activity under your account.

8. Third-Party Services

Efiros integrates with GitHub and GitLab.

You're responsible for:

  • Maintaining valid licenses for those services
  • Any issues with those integrations (we'll do our best to help)

We're not responsible for third-party service failures or changes.

9. What We Promise (and Don't)

We promise to:

  • Provide the services with reasonable skill and care
  • Provide the services described in your plan
  • Keep your data secure
  • Give you reasonable notice of changes

We don't promise:

  • 100% uptime (though we aim for high availability)
  • That the platform will be error-free
  • That analytics will be perfectly accurate
  • That beta features will work reliably
  • That third-party integrations will always function

Except as stated above, the Services are provided "as is" to the maximum extent permitted by applicable law.

Beta features: Features marked as beta, alpha, or preview are provided without warranties and may be discontinued without notice.

Enterprise customers with signed Service Agreements may have different terms as specified in their agreements.

10. Liability Limits

To the maximum extent permitted by applicable law, our total liability for all claims is limited to the fees you paid us in the 12 months before the claim.

We're not liable for:

  • Service downtime, interruptions, or unavailability
  • Lost profits, lost data, or indirect damages
  • Third-party service issues (GitHub, GitLab, AWS)
  • Performance issues or slow response times

Nothing limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, breach of confidentiality, or anything else we can't legally limit.

11. Your Indemnity

You'll defend us against claims arising from:

  • Your use of Efiros
  • Your data or content
  • Your violation of these Terms or laws
  • Claims by your employees or contractors

This doesn't apply to claims caused by our negligence or misconduct.

12. Confidentiality

Both parties keep confidential information confidential and use it only for purposes of this agreement. This doesn't apply to public information or disclosures required by law.

13. Termination

You can cancel anytime from your account settings or by emailing support@efiros.com.

We can suspend or terminate if:

  • You breach these Terms (we'll give you 10 days to fix it first, if possible)
  • Your payment is overdue by 30+ days
  • Required by law

After termination:

  • Your access ends immediately (or at end of billing period if you cancel voluntarily)
  • You have 30 days to export your data
  • We'll delete or anonymise your data in line with our retention policy and legal obligations.
  • You remain liable for any unpaid fees

14. Changes to These Terms

We may update these Terms. For material changes:

  • We'll email you at least 30 days before changes take effect
  • Continued use after the effective date constitutes acceptance of the updated Terms.
  • If you disagree, cancel your account before changes take effect

15. Disputes

Governing law: England and Wales

Jurisdiction: Courts of England and Wales have exclusive jurisdiction

Before legal action: Please contact us at legal@efiros.com to try to resolve disputes informally first.

16. General Provisions

Entire agreement: These Terms, plus our Privacy Policy and any Service Agreement you've signed, make up the full agreement.

Assignment: You can't transfer your account without our permission. We can transfer our rights in connection with a merger or acquisition (with notice to you).

Severability: If part of these Terms is unenforceable, the rest still applies.

Force majeure: Neither party is liable for delays caused by events beyond reasonable control (natural disasters, pandemics, war, internet failures, cyber attacks).

No waiver: Our failure to enforce a right doesn't mean we've waived it.
